M&A Advisory Services

STATEO’s strategic advisory services focus on identifying and implementing strategies to maximize shareholder value while addressing diverse shareholder objectives.

We evaluate capitalization alternatives and analyze their ability to meet both the growth requirements of a client company and the liquidity needs of its shareholders. We examine a range of transaction strategies including acquisitions, divestitures, recapitalizations and, potentially, the sale of the company, and measure how each strategy impacts shareholder objectives relative to risk, liquidity, asset diversification, succession issues, estate planning and value maximization.

Sell-Side Advisory

STATEO professionals combine transaction expertise with extensive research capabilities, a proprietary investor database, and a custom, enterprise-wide transaction management system to deliver the greatest value for each client.

We implement a customized and comprehensive process intended to generate maximum value for shareholders with minimum distraction for operating managers. Our managing directors work closely with clients to define objectives, then design and implement a transaction strategy to achieve each goal.

Every sale engagement is unique and depends on the specific needs and objectives of the client’s shareholders. The manner in which STATEO conducts a sale process will, by design, vary based on the client’s preference with regard to: (i) the number and nature of the parties to initiate discussions; (ii) the client’s time frame and expectations; (iii) the management and ongoing operations of the business; (iv) other strategic considerations and market factors; and (v) personal and other unique considerations.

Acquisition Advisory

Private Placements

STATEO financing professionals are experienced in all aspects of capital formation including senior debt, subordinated debt, mezzanine capital, preferred stock, and common stock.

We maintain an ongoing dialogue with institutional sources of capital including commercial banks, insurance companies, pension funds, finance companies, hedge funds, mezzanine funds, venture capital funds and private equity groups.

STATEO has also advised middle-market companies that are unable to fully capture potential growth or liquidity opportunities because they have outgrown their existing financing sources, as well as companies that are inadequately leveraging their balance sheet or cash flow with traditional bank debt. In both of these situations, 360 Capital Partners considers every available source of capital on behalf of our clients including asset-based loans, senior cash-flow loans, institutional private placements, equipment and mortgage financing, asset securitizations, operating or capital leases, subordinated debt, preferred stock, and common equity.

We often pursue more than one type of capital to provide an optimal capital structure and minimize dilution. We also recognize and proactively manage the structural and logistical challenges of closing multiple transactions simultaneously.

Family-Owned Businesses

STATEO understands the opportunities and challenges facing family-owned companies as they address the operating requirements of their business and the evolving and sometimes divergent interests of their family shareholders.

We realize that human dimensions are often paramount in aligning family objectives with those of the business, whether the issue at hand is selecting a successor to manage the family business, or providing liquidity to a family member not directly involved in the business.

Corporate Carve-Outs

Given the complexities of corporate divestitures, finding the right buyer is the most challenging and critical aspect of these transactions.

In some cases, a strategic buyer is required due to the lack of management or shared operating assets that must be retained by the parent. In other cases, a financial buyer is preferred because the management desires to participate in a transaction and is concerned about sharing information with competitors.

STATEO will work with the parent company and operating management to understand these issues and agree on the optimal buyer for each situation.
